Website Development Agreement
1. Scope of Work
The Developer agrees to design, develop, and deliver a website for the Client according to the specifications outlined.
The Developer will:
Create a website or AI automation solution.
Provide specified amount of pages and revisions.
Include features such as a contact form, gallery, booking system, etc.
Optimize for mobile and desktop.
Provide basic SEO setup.
2. Timeline
Project start date will be established between client and developer.
Estimated completion date will be established between client and developer.
Any changes to the timeline must be mutually agreed upon in writing.
3. Payment Terms
Total Project Fee will be established by developer dependent upon the amount of work required.
Deposit: 50% due upon signing Agreement.
Remaining Balance: Due upon project completion before final website launch or transfer.
4. Revisions
The Client is entitled to a number rounds of revisions within the project scope.
Additional revisions or changes beyond the agreed scope will be billed at a rate appropriate per hour.
5. Client Responsibilities
The Client agrees to:
Provide all necessary materials (logos, text, images, branding assets) in a timely manner.
Review deliverables and provide feedback promptly.
Obtain all necessary permissions for any third-party materials provided.
Delays in Client feedback or material submission may extend the project timeline.
6. Ownership & Intellectual Property
Upon final payment, the Client will own the final website design, code (excluding proprietary tools or frameworks), and all deliverables.
The Developer retains the right to display the completed project in their portfolio and marketing materials.
Until full payment is received, all materials remain the property of the Developer.
7. Confidentiality
Both Parties agree to keep confidential any proprietary or sensitive information obtained during the course of the project.
8. Termination
Either Party may terminate this Agreement with written notice if the other Party breaches its obligations and fails to remedy such breach.
If the Client terminates the project early:
The Client will pay for all completed work up to the termination date.
The deposit is non-refundable.
9. Warranties & Liability
The Developer will make reasonable efforts to ensure the website functions as intended.
The Developer is not responsible for:
Website downtime due to hosting or third-party issues.
Security breaches or hacks after project delivery.
Content accuracy provided by the Client.
In no event shall either Party be liable for any indirect or consequential damages.
10. Maintenance & Support (Optional)
After project completion, the Developer may offer ongoing maintenance at an established rate per month, including updates, backups, and minor edits.
11. Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes any prior discussions or communications.
